Welcome to SocialDesk. These Terms of Service ("Terms") govern your access to and use of SocialDesk's website, applications, and services (collectively, the "Services") operated by Cappsule SA ("we", "our", or "us"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

1. Acceptance of Terms

By creating an account, accessing, or using our Services, you confirm that you are at least 16 years old and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

SocialDesk is a social media management platform that enables you to:

  • Connect and manage multiple social media accounts (Instagram, Facebook, TikTok, LinkedIn, X/Twitter)
  • Create, schedule, and publish content across platforms
  • Analyze performance metrics and engagement data
  • Collaborate with team members on social media campaigns
  • Access AI-powered content creation and optimization tools

3. Account Registration and Security

To use our Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our discretion.

4. Social Media Platform Connections

When you connect third-party social media accounts to SocialDesk:

  • You authorize us to access and interact with your accounts as permitted by those platforms
  • You remain bound by the terms and policies of each connected platform
  • You are responsible for ensuring your use complies with each platform's guidelines
  • We are not responsible for changes to third-party platform APIs or policies that may affect our Services
  • You can disconnect your social media accounts at any time through your account settings

5. Acceptable Use Policy

You agree not to use our Services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Post or distribute content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Infringe on intellectual property rights of others
  • Spread malware, viruses, or other harmful code
  • Engage in spamming, phishing, or fraudulent activities
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the integrity or performance of our Services
  • Use automated means to access the Services without our permission
  • Resell or redistribute our Services without authorization

6. Content Ownership and Licenses

Your Content: You retain ownership of all content you create, upload, or share through our Services ("User Content"). By using our Services, you grant us a non-exclusive, worldwide, royalty-free license to use, store, display, and distribute your User Content solely for the purpose of providing and improving our Services.

Our Content: SocialDesk and its licensors own all rights, title, and interest in the Services, including all software, designs, text, graphics, and other content provided by us ("SocialDesk Content"). You may not copy, modify, distribute, or create derivative works based on SocialDesk Content without our express written permission.

Feedback: If you provide feedback, suggestions, or ideas about our Services, you grant us the right to use such feedback without restriction or compensation.

7. Subscription and Payment

Some features of our Services require a paid subscription. By subscribing:

  • You agree to pay all applicable fees as described at the time of purchase
  • Subscriptions automatically renew unless canceled before the renewal date
  • Prices may change with 30 days' notice; continued use constitutes acceptance
  • Refunds are provided in accordance with our refund policy
  • We may suspend access for non-payment of fees

8. Free Trial

We may offer free trials of our paid Services. At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends. We reserve the right to limit or modify free trial offers at any time.

9. Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE ARE NOT RESPONSIBLE FOR THE ACTIONS OR CONTENT OF THIRD-PARTY PLATFORMS OR SERVICES.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOCIALDESK AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless SocialDesk and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to your use of the Services, your User Content, or your violation of these Terms.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of Switzerland, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Services shall be resolved exclusively in the courts of Geneva, Switzerland. You agree to submit to the personal jurisdiction of such courts.

12. Termination

You may terminate your account at any time by contacting us or through your account settings. We may terminate or suspend your access to the Services:

  • For violation of these Terms
  • For non-payment of fees
  • If required by law
  • For any other reason with reasonable notice

Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, indemnification, and limitations of liability.

15. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and SocialDesk regarding the Services.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
  • Waiver: Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
  • Assignment: You may not assign these Terms without our prior written consent. We may assign our rights and obligations without restriction.
